Your cap table breaks down your company’s ownership: it lists all the shareholders, along with the number, class, and percentage of shares each holds. 

We believe it’s very important that founders control their cap table model, as it’s essential to understand the interplay and impact of the different terms, especially when negotiating a new round. That’s why we’ve built a cap table template for you, including some Cocoa cheeky tips. Download it and make it yours!

👋 Note: A cap table like the one in this template only becomes relevant once you are raising your first priced equity round. SAFE investors aren’t shareholders until their SAFEs convert, and therefore they won’t appear in the cap table until that point. This template assumes a first priced equity round without any previous SAFEs. We’ll soon add a version showing how SAFEs convert – stay tuned.
